Our Story

Established to Serve the M&A Community in Singapore

Banyan Advisory was founded in 2006 by a group of corporate lawyers who observed a gap in the Singapore market for specialist M&A legal counsel that combined transactional rigour with a willingness to engage deeply with clients' commercial realities.

Named after the banyan tree — whose roots spread widely and whose branches provide shelter — the practice reflects a philosophy of advisory work that is thorough, grounded, and oriented toward durable outcomes rather than short-term completions.

Over nearly two decades, we have worked across a broad range of industries including financial services, manufacturing, technology, healthcare, and infrastructure. Our client base includes Singapore-listed companies, regional conglomerates, private equity sponsors, family offices, and international acquirers entering the Asia-Pacific market.

The firm operates from its principal office at OUE Bayfront, Singapore, and coordinates regularly with correspondent counsel across the ASEAN region, South Asia, Greater China, and Australia.

Our Mission

To provide legally sound and commercially informed advisory services that support clients in navigating the complexity of M&A transactions — from initial assessment through post-completion integration — with clarity, discipline, and integrity.

Our Values

  • Precision: We approach each matter with careful attention to detail and a thorough understanding of the transaction context.
  • Transparency: Clients receive clear, plain-language advice and are kept fully informed throughout each engagement.
  • Continuity: We build long-term relationships, with many clients returning across multiple transactions over many years.
  • Discretion: All client matters are handled with the highest standards of confidentiality.

Law Society Singapore Membership

All qualified advisers are members of the Law Society of Singapore and subject to its professional conduct rules, oversight, and ongoing CPD obligations.

All client information is treated as strictly confidential. Internal access controls restrict document sharing on a need-to-know basis. NDAs are executed at the outset of every engagement.

All major deliverables — due diligence reports, transaction documents, integration roadmaps — are subject to review by a senior adviser before release to clients.

Professional Indemnity Cover

Banyan Advisory maintains professional indemnity insurance appropriate to the scope and value of transactions handled, providing clients with additional comfort.

Correspondent Network Governance

Overseas legal counsel engaged in connection with cross-border matters are vetted for professional standing and subject to confidentiality obligations consistent with those applied internally.

Data Protection Compliance

The firm's data handling practices comply with the Personal Data Protection Act (Singapore) and relevant international frameworks where cross-border data transfers occur.

Our Expertise

Deep Knowledge Across the M&A Transaction Lifecycle

Banyan Advisory's practice spans the full spectrum of legal work associated with corporate acquisitions, mergers, and disposals in Singapore and across the Asia-Pacific corridor. The firm's advisers bring together expertise developed across decades of corporate legal practice, supported by a network of correspondent relationships across the region.

Our due diligence practice draws on extensive experience reviewing corporate records, commercial contracts, employment arrangements, regulatory licences, intellectual property portfolios, and litigation histories for target entities of varying size and complexity. This breadth allows us to deliver findings reports that are genuinely useful to decision-makers — addressing material concerns clearly and setting out considered recommendations for managing identified exposures.

In transaction structuring, we bring analytical rigour to the question of deal architecture: whether a transaction is best structured as a share purchase or an asset acquisition, how consideration should be calculated and adjusted, what warranty and indemnity provisions are appropriate, and how completion mechanics should be structured to protect client interests. Our advisers have participated directly in negotiation sessions across numerous mid-market and larger transactions, developing a practical understanding of where positions can be moved and where lines should be held.

Post-completion, we assist clients in navigating the often complex legal dimensions of integration — from regulatory notifications and corporate restructuring through to the migration of contracts and intellectual property rights. Our integration roadmaps provide a structured basis for managing legal obligations during the transition period.
